These Terms of Service (“Terms”) govern access to and use of Ceiling2Cellar.com and the general online services provided by Green Leaf Eco Development, LLC, doing business as Ceiling 2 Cellar Remodeling (“Ceiling 2 Cellar,” “C2C,” “Company,” “we,” “us,” or “our”).
Please read these Terms carefully.
By accessing or using our website, submitting a project inquiry, requesting an estimate or consultation, or otherwise using a website feature governed by these Terms, you acknowledge these Terms.
Paid remodeling and construction services are subject to additional written agreements as explained below.

2. Website Terms vs. Project Contract
These Terms primarily govern:
- Use of Ceiling2Cellar.com;
- Website content;
- Estimate-request forms;
- Consultation requests;
- Scheduling tools;
- General inquiries;
- Website communications.
Actual remodeling, construction, repair, or other paid project work is governed by the applicable written documentation, which may include:
- Home-improvement contract;
- Proposal;
- Scope of Work;
- Estimate;
- Payment schedule;
- Change Orders;
- Material selections;
- Warranty terms;
- Project-specific notices;
- Other signed documents.
If these website Terms conflict with a signed project agreement concerning a paid project, the signed project agreement controls.
No verbal conversation automatically changes the written project agreement.
3. Written Scope Controls
Ceiling 2 Cellar operates through written project documentation.
Only work included in the approved written Scope of Work or other applicable agreement is included in the project.
The Scope of Work may identify:
- Included work;
- Excluded work;
- Materials;
- Allowances;
- Assumptions;
- Owner responsibilities;
- Trade responsibilities;
- Project milestones;
- Payment requirements;
- Project schedule.
If a service or deliverable is not included in the written project documents, it should not be assumed to be included.
4. Estimates and Consultations
Initial estimates and consultations are offered free of charge unless a different arrangement is clearly disclosed before scheduling.
Website pricing, examples, project ranges, or educational content are preliminary and informational.
Final project pricing is determined after appropriate project review and is governed by the written estimate, proposal, and contract.
Submitting an inquiry or requesting an estimate does not obligate either party to enter into a project agreement.
5. Site Visits and Existing Conditions
Project pricing and scope may depend upon site conditions that are not reasonably visible or known before work begins.
During evaluation, Ceiling 2 Cellar may inspect or document relevant:
- Measurements;
- Access;
- Existing finishes;
- Plumbing;
- Electrical conditions;
- Structural conditions;
- Moisture conditions;
- Mechanical systems;
- Existing damage;
- Other visible project factors.
Concealed or unforeseen conditions discovered after work begins may require a written Change Order before additional or different work proceeds.
6. Change Orders
All changes outside the approved written Scope of Work require written documentation and approval before the related additional work proceeds.
A Change Order may identify:
- Requested change;
- Reason for the change;
- Additional or reduced work;
- Price impact;
- Material impact;
- Schedule impact;
- Required approval.
Verbal requests, jobsite conversations, telephone calls, text messages, or informal discussions do not automatically modify the approved Scope of Work.
Ceiling 2 Cellar may pause the affected portion of work until a required Change Order has been approved.
7. Project Approvals
Approvals may be documented through:
- Signed project documents;
- Electronic signatures;
- Email;
- Approved project-management systems;
- Other agreed written communication channels.
Once an item has been approved, later changes may constitute additional work. This may include changes to:
- Scope;
- Layout;
- Materials;
- Fixtures;
- Finishes;
- Colors;
- Product selections;
- Design decisions;
- Project sequencing.
8. Payment Structure
Unless a different payment schedule is stated in the signed project agreement, Ceiling 2 Cellar may use a milestone-based payment structure modeled on its standard operating process.
A typical project may include:
- 50% — Deposit / Booking and Materials: Due as stated in the contract before scheduling, procurement, or commencement.
- 35% — Progress Milestone: Due upon the milestone identified in the project agreement.
- 15% — Final Completion: Due in connection with final walkthrough and project completion as defined by the applicable contract.
The signed project agreement controls the actual payment schedule for each project.
9. Payment Methods
Ceiling 2 Cellar may accept payment by:
- Wire transfer;
- Credit or debit card through an authorized payment link;
- Zelle;
- Venmo;
- Check.
Certain payment methods may be processed by independent financial institutions or payment partners.
Customers are responsible for following the payment instructions provided by Ceiling 2 Cellar and verifying payment instructions where appropriate.
10. Online and Card Payments
Customers may be provided an online payment link through a payment partner.
Entering payment information into an independent payment provider's system may subject the transaction to that provider's:
- Terms;
- Privacy policy;
- Security procedures;
- Processing requirements.
Ceiling 2 Cellar does not intend to collect complete card numbers through ordinary website inquiry forms.
Making a payment does not modify the written Scope of Work or authorize work outside the signed agreement.
11. Unpaid Milestones
Required project payments are tied to applicable milestones.
Where a required milestone payment is unpaid, Ceiling 2 Cellar may pause:
- Work;
- Scheduling;
- Procurement;
- Additional project phases;
- Project closeout;
as permitted by the signed agreement and applicable law.
Work is not required to advance past a payment milestone until the required payment has been received where the contract so provides.
12. Customer Cancellation
Any cancellation rights provided by applicable law or included in the signed home-improvement contract remain fully applicable and are not waived by these website Terms.
In addition to any mandatory legal cancellation rights, Ceiling 2 Cellar's general business policy permits a customer to request cancellation at least seven calendar days before the scheduled project or service start date, subject to the applicable signed agreement.
Cancellation must be communicated in writing.
If a signed project agreement provides more specific cancellation procedures, those procedures control to the extent permitted by law.
13. Materials Already Purchased
If materials have already been purchased for a project before cancellation, amounts attributable to those purchased materials are nonrefundable to the extent permitted by applicable law and the signed project agreement.
This may include materials acquired specifically for the customer's project.
Any mandatory statutory cancellation or refund rights that cannot legally be waived will control over this provision.
14. Scheduling and Project Dates
Project schedules depend on multiple factors, including:
- Client approvals;
- Material availability;
- Material delivery;
- Weather;
- Site conditions;
- Trade availability;
- Permit processing;
- Inspection scheduling;
- Scope changes;
- Change Orders;
- Client-requested changes;
- Access to the property;
- Timely payments;
- Circumstances outside reasonable control.
Preliminary start dates and estimated completion dates are planning estimates unless the signed project agreement expressly identifies a particular contractual commitment.
15. Timeline Commitments
Where a signed Ceiling 2 Cellar project agreement expressly contains a written deadline guarantee or labor-credit provision, that written provision controls.
No website statement, preliminary estimate, sales discussion, automated communication, or informal message creates a guaranteed completion date unless incorporated into the applicable written project agreement.
Client-approved Change Orders, inspection delays, force majeure events, client delays, concealed conditions, or other circumstances identified in the agreement may affect the project timeline.
16. Material Selections
Clients are responsible for making selections by applicable project deadlines.
Delayed selections may affect:
- Procurement;
- Scheduling;
- Labor sequencing;
- Material availability;
- Project completion.
Once a material has been ordered, custom fabricated, cut, installed, or otherwise committed to the project, changes may involve additional charges or scheduling effects documented through a Change Order.
17. Client-Supplied Materials
Where the project permits customer-supplied materials, responsibility for those materials should be identified in the Scope of Work.
Unless otherwise agreed in writing, Ceiling 2 Cellar does not warrant a manufacturer, supplier, or customer's own product merely because our personnel install or work around it.
Any labor warranty applicable to installation remains subject to the written project agreement.
18. Permits and Inspections
Permit and inspection responsibility depends on the project.
Depending on the written Scope of Work, required permits may be:
- Obtained or coordinated by Ceiling 2 Cellar;
- Obtained by an applicable licensed trade or subcontractor;
- Obtained by the homeowner.
Responsibility should be identified in the applicable project documentation.
Inspection availability and government processing are outside Ceiling 2 Cellar's direct control and may affect project timing.
19. Employees and Subcontractors
Ceiling 2 Cellar may use employees, subcontractors, independent trades, and specialty professionals in completing a project.
The Company may determine appropriate staffing and trade sequencing subject to the project agreement and applicable law.
20. Licensed Trade Work
Where electrical, plumbing, HVAC, or other work requires a particular licensed or qualified trade, Ceiling 2 Cellar may coordinate appropriately qualified subcontractors or professionals.
Specific licensing, insurance, or contractor documentation applicable to the project may be provided upon request.
Nothing on the website should be interpreted as authorizing an individual to perform work for which that individual is not legally qualified.
21. Property Access
The customer is responsible for providing reasonable access to the project location according to the agreed schedule.
Customers should disclose relevant access conditions such as gate codes, security systems, pets, occupancy constraints, parking restrictions, building rules, and property-management requirements.
Access problems may affect the schedule.
22. Site Protection and Customer Property
Ceiling 2 Cellar may use reasonable site-protection practices appropriate to the project.
Customers should remove or protect valuable property, fragile belongings, personal documents, electronics, artwork, and other items not necessary within the active work area.
Specific protection obligations may be included in the project agreement.
23. Project Photographs
Ceiling 2 Cellar may create before, during, and after photographs as part of scope documentation, quality control, progress verification, change documentation, closeout, and warranty records.
Operational project photography does not automatically authorize public advertising use.
Separate permission will be obtained before project photographs are publicly used for marketing, portfolio, social-media, or advertising purposes.
24. Final Walkthrough and Punch List
Projects may include a structured final walkthrough and punch-list process to:
- Review completed work;
- Identify remaining covered items;
- Document corrections;
- Confirm completion;
- Complete project closeout.
The applicable project agreement determines the exact requirements for completion, punch-list resolution, sign-off, and final payment.
25. 12-Month Craftsmanship Warranty
Ceiling 2 Cellar provides a 12-month craftsmanship warranty on covered labor, subject to the terms of the applicable written project agreement.
If covered workmanship fails within the applicable warranty period, Ceiling 2 Cellar will address the covered workmanship as provided by the warranty.
The warranty period and claim procedures are governed by the written project documentation.
Manufacturer warranties, material warranties, customer-provided products, and third-party warranties may be governed separately by their applicable terms.
No website statement expands a project warranty beyond the written warranty provided with the applicable project.
26. Warranty Claims

27. Project Closeout
Project closeout may include:
- Final walkthrough;
- Punch-list completion;
- Photo documentation;
- Completion summary;
- Care information;
- Warranty information;
- Invoice records;
- Other project documentation.
The specific contents of the closeout package depend on project scope.
29. Website Pricing and Project Ranges
Prices or project ranges published on Ceiling2Cellar.com are general planning information only unless expressly incorporated into a written proposal.
Actual project pricing may depend on scope, square footage, existing conditions, material selections, labor requirements, licensed trades, layout changes, permits, structural work, and other project-specific variables.
Final pricing is determined through the applicable project review and written agreement.
30. No Guarantee from Preliminary Estimates
An estimate, consultation, website calculator, budget range, or preliminary discussion is not a final contract unless expressly incorporated into an accepted written agreement.
Only the applicable signed proposal, contract, Scope of Work, Change Orders, and related written documents establish the final contractual obligations.
31. Customer Responsibilities
Customers are responsible for:
- Providing accurate project information;
- Disclosing known conditions relevant to the work;
- Making selections within agreed timelines;
- Providing required access;
- Providing approvals promptly;
- Making payments according to agreed milestones;
- Following agreed project procedures.
Failure to satisfy a customer dependency may affect the project schedule or cost.
32. Website Content
Ceiling 2 Cellar attempts to provide useful and reasonably accurate website information.
However, website content may contain general planning information, estimates, illustrative examples, errors, outdated information, or typographical mistakes.
Property-specific requirements are determined through project review.
Website articles are educational information and do not replace a site-specific construction, engineering, architectural, legal, financial, environmental, or code evaluation.
33. Intellectual Property
Unless otherwise stated, original Ceiling2Cellar.com content, including text, branding, logos, photography owned by the Company, graphics, designs, website layouts, documentation, and other original materials, is owned by or licensed to Green Leaf Eco Development, LLC.
Such materials may not be reproduced, resold, republished, or commercially exploited without authorization except as permitted by law.
34. Client-Provided Materials and Content
If a customer provides photographs, plans, designs, drawings, product specifications, inspiration images, or other third-party content, the customer represents that they have the right to provide such materials for the project.
Third-party intellectual-property rights remain with their respective owners.
35. Third-Party Services
Ceiling 2 Cellar may rely on third-party services including payment processors, hosting providers, scheduling systems, CRM systems, communications providers, cloud platforms, electronic-signature platforms, suppliers, and manufacturers.
These third parties may operate under independent terms. Ceiling 2 Cellar does not control every independent third-party platform.
36. Product and Manufacturer Warranties
Products, fixtures, appliances, finishes, or materials may carry warranties issued by their manufacturer or supplier.
Those warranties are separate from Ceiling 2 Cellar's craftsmanship warranty unless expressly stated otherwise.
Manufacturer warranty claims may be subject to the manufacturer's requirements and limitations.
37. No Guarantee of Property Value or Financial Return
Remodeling results may affect property utility, appearance, marketability, or value, but those outcomes depend on factors outside Ceiling 2 Cellar's control.
Unless specifically guaranteed in a signed agreement, Ceiling 2 Cellar does not guarantee increased property value, appraisal results, resale value, rental income, insurance outcomes, energy savings, tax outcomes, or return on investment.
38. Testimonials and Portfolio Examples
Testimonials, reviews, photographs, and completed-project examples reflect the experiences or projects described.
Individual projects vary.
Prior project results do not guarantee that another project will produce identical pricing, timing, appearance, results, or conditions.
39. Website Availability
The website may occasionally be unavailable because of maintenance, technical issues, hosting problems, security updates, network outages, or third-party service interruptions.
We do not guarantee uninterrupted website availability.
40. Privacy
Use of Ceiling2Cellar.com is also subject to the Ceiling 2 Cellar Privacy Policy.
That Privacy Policy is incorporated into these Terms by reference.
41. Disclaimer of Website Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PUBLIC WEBSITE AND GENERAL WEBSITE CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
CEILING 2 CELLAR DISCLAIMS IMPLIED WARRANTIES CONCERNING THE PUBLIC WEBSITE TO THE EXTENT SUCH WARRANTIES MAY LEGALLY BE DISCLAIMED.
THIS WEBSITE DISCLAIMER DOES NOT REPLACE OR ELIMINATE A WRITTEN CRAFTSMANSHIP WARRANTY EXPRESSLY PROVIDED UNDER A SIGNED PROJECT AGREEMENT.
42. Limitation of Website Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GREEN LEAF ECO DEVELOPMENT, LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING SOLELY FROM USE OF OR INABILITY TO USE THE PUBLIC WEBSITE.
LIABILITY RELATING TO AN ACTUAL PAID REMODELING PROJECT IS GOVERNED BY THE APPLICABLE SIGNED PROJECT AGREEMENT AND APPLICABLE LAW.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.
43. Indemnification for Website Misuse
To the extent permitted by law, users agree to be responsible for third-party claims arising from:
- Unlawful misuse of the website;
- Violation of these Terms;
- Submission of unlawful materials;
- Infringement of another person's rights.
Any project-specific indemnification provisions are governed by the applicable signed project agreement.
44. Suspension of Services
Where permitted by the signed agreement and applicable law, Ceiling 2 Cellar may pause or suspend project performance because of matters such as failure to make required milestone payments, failure to provide necessary approvals, unsafe conditions, inability to access the property, material contract breach, or regulatory or legal restrictions.
The Company will communicate applicable project issues and required next steps.
45. Force Majeure
Ceiling 2 Cellar will not be responsible for delays caused by circumstances outside its reasonable control, which may include severe weather, natural disasters, fire, utility failures, government action, inspection delays, permit delays, material shortages, supply-chain interruption, transportation interruption, labor disruption, widespread technology outages, or other comparable events outside reasonable control.
This provision does not excuse obligations that applicable law does not permit the parties to excuse.
46. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles, except where applicable law requires otherwise.
47. Venue
Subject to mandatory legal requirements and any controlling provision in a signed project agreement, litigation arising exclusively from use of the public Ceiling2Cellar.com website or these website Terms shall be brought in a court of competent jurisdiction located in or serving Niagara County, New York.
A signed project agreement may contain additional or different dispute-resolution provisions applicable to that project.
48. Non-Waivable Consumer Rights
Nothing in these Terms is intended to waive, restrict, or eliminate a consumer right that cannot legally be waived under applicable federal, New York State, or local law.
Where applicable law requires a particular contract notice, cancellation period, disclosure, refund, warranty, or remedy, that mandatory legal requirement controls over any inconsistent provision of these Terms.
49. Severability
If a provision of these Terms is determined to be invalid or unenforceable, the remaining provisions remain in effect to the maximum extent permitted by law.
An invalid provision may be limited or interpreted to the minimum extent necessary to make it enforceable where legally permitted.
50. No Waiver
Failure by Ceiling 2 Cellar to enforce a provision of these Terms does not constitute a continuing waiver of that provision or another right.
51. Changes to These Terms
We may update these website Terms as our website changes, business changes, services change, technology changes, or legal requirements change.
The Last Updated date identifies the current website version.
A website Terms update does not silently alter contrary provisions in an existing signed project agreement.
Material changes affecting an existing project are handled through the applicable written agreement or Change Order process.
52. Entire Agreement for Website Use
These Terms and the Ceiling 2 Cellar Privacy Policy constitute the general agreement governing use of the public website.
They do not replace the signed written agreement governing an actual remodeling project.
The applicable project contract, Scope of Work, approved Change Orders, payment schedule, and warranty documentation govern the actual paid project.
